3. Research use only — the central condition of sale

All products sold by TROPEZ are supplied strictly for laboratory research use only.

No product sold by TROPEZ is:

  • a drug, medicine, dietary supplement, food, cosmetic, or medical device;
  • approved, cleared, licensed or authorised by the U.S. Food and Drug Administration or any comparable authority for any use in humans or animals;
  • intended for diagnostic, therapeutic, preventive, or any other clinical purpose;
  • intended for administration to, ingestion by, injection into, inhalation by, or topical application to humans or animals;
  • intended for use in food, beverages, or any consumer product.

No product listed on the Site is offered, sold, described, or in any way represented as having any effect on the structure or function of the human body, or as being able to diagnose, treat, cure, mitigate, or prevent any disease or condition. Product listings are limited to chemical and analytical specification. Nothing on the Site, in any communication from us, or in any third-party material constitutes a recommendation, instruction, protocol, dose, or suggestion for use of any kind.

3.1 Your representations and warranties

By placing an order you represent and warrant, for each and every order, that:

  1. you are at least eighteen (18) years of age and have the legal capacity to enter into this agreement;
  2. you are acquiring the product solely for use in legitimate laboratory research, analytical testing, or in-vitro investigational work;
  3. you will not administer any product to, or permit any product to be administered to, any human being or animal, including yourself;
  4. you will not resell, distribute, repackage, relabel, compound, or otherwise transfer any product for, or in a manner that facilitates, any human or animal use;
  5. you possess, or operate under the supervision of a person who possesses, the scientific training and facilities necessary to handle, store and dispose of research chemicals safely, and you accept sole responsibility for doing so;
  6. you will comply with all applicable federal, state and local laws, regulations, institutional policies, and biosafety requirements governing your receipt, handling, use, storage, transport and disposal of the product;
  7. you are not a person or entity barred from receiving the product under any applicable law; and
  8. the information you provide to us, including the identity of the purchasing person or institution and the destination address, is accurate and complete.

3.2 Attestation at checkout

You will be required to affirmatively attest to the representations in Section 3.1 before your order can be submitted. That attestation is recorded with a timestamp, your IP address, and the exact text shown to you at the time. We retain that record as part of the order file.

3.3 Our right to refuse or cancel

We may refuse, limit, delay, or cancel any order, close any account, and refuse to supply any person or destination, at our sole discretion and without stating a reason. Reasons may include, without limitation: an incomplete or failed attestation; a stated or apparent intended use inconsistent with Section 3; a request for dosing, administration, or protocol information; an order pattern inconsistent with research use; a suspected fraudulent, duplicate or unauthorised payment; an address we cannot verify; or any legal or regulatory constraint. If we cancel an order after payment, we will refund it in full under the Refund and Return Policy.

3.4 Misuse

Any administration of a product to a human or animal, and any resale or transfer of a product for human or animal use, is a material breach of these Terms and is expressly outside the scope of the licence granted to you. You assume the entire risk of, and sole responsibility for, any such use, and you agree to indemnify us for it under Section 15.

4. Eligibility and territory

The Site is intended for, and products are sold to, purchasers located in the United States only. We do not ship outside the United States and we do not accept orders from, or arrange export to, any other jurisdiction. See the Shipping Policy for destination detail.

You must be at least 18 years of age. We do not knowingly sell to minors and we do not knowingly collect information from them.

5. Products, specifications and certificates of analysis

5.1 Specification

Product listings state the compound identity, nominal quantity, and the physical and analytical specification of the material, including purity as determined by the test method stated on the applicable certificate of analysis. Where a listing references a mass in milligrams, that figure refers to the nominal quantity of material in the vial and nothing else.

5.2 Certificates of analysis

Where a certificate of analysis (“COA”) is available for a lot, it is made available on the product page and in your account. A COA reports the result of testing performed on a sample from that lot by the laboratory identified on the certificate, using the method identified on the certificate. A COA is a statement of analytical result only. It is not a representation of fitness for any purpose and it is not an authorisation or endorsement of any use.

Lot numbers are recorded against each order line at the time of purchase, so the certificate applicable to the material you received remains identifiable after the lot has been superseded.

5.3 Variation

Material is manufactured to specification in discrete lots. Appearance, cake form, fill presentation, reconstitution behaviour, and analytical values within specification tolerance may vary between lots. Variation within the stated specification is not a defect.

5.4 Availability and listing accuracy

We make reasonable efforts to keep listings, stock status and pricing accurate, but errors occur. We reserve the right to correct an error at any time, including after an order has been submitted. If a price or specification error is material and we cannot fulfil the order as described, we will contact you and either cancel the order and refund you in full or, with your agreement, fulfil it as corrected.

6. Accounts

A registered customer account is required in order to place an order.

You are responsible for the accuracy of your account information, for keeping your credentials confidential, and for all activity under your account. Notify us immediately at info@tropezpeptides.com if you believe your account has been accessed without your authorisation. We may suspend or terminate an account that is used in breach of these Terms, that contains information we cannot verify, or that is implicated in fraudulent activity.

Your account gives you access to your order history, order status and tracking, invoices and amounts paid, saved addresses, payment methods held on file by our payment processor, membership status and billing history, and the certificates of analysis for the lots you received.

7. Orders, prices and payment

7.1 Formation of the contract

Your submission of an order is an offer to purchase. Our order confirmation email acknowledges receipt only and does not accept your offer. The contract is formed when we dispatch the product. Until dispatch, we may decline the order for any of the reasons in Section 3.3.

7.2 Prices

Prices are stated in United States dollars and exclude shipping and applicable taxes, which are calculated and shown before you submit your order. We may change prices at any time; the price applicable to your order is the price displayed at the time you submit it.

7.3 Volume pricing

Quantity-based pricing is applied automatically at the cart, on the terms stated on the Site at the time of your order. Volume tiers apply to eligible single-compound items and are identified on the product page. Volume pricing, promotional codes, and the member discount stack only where the Site expressly states that they do.

7.4 Payment

Payment is taken in full at the time you submit your order. We accept the payment methods shown at checkout. Payment is processed by a third-party payment processor; we do not receive or store your full card number. You represent that you are authorised to use the payment method you present and that the billing information you provide is accurate.

If a payment is declined, reversed, or charged back, we may cancel the related order, withhold dispatch, suspend your account, and recover amounts owed to us, including reasonable costs of recovery.

7.5 Taxes

You are responsible for all sales, use, excise and similar taxes applicable to your purchase. Where we are required to collect tax, it is calculated at checkout based on your shipping destination and shown before you submit your order. Where we are not required to collect it, you may still be liable to remit it to your own taxing authority.

7.6 Chargebacks

If you believe a charge is incorrect, contact us at info@tropezpeptides.com before contacting your card issuer. Most disputes are the result of a descriptor you did not recognise, a membership renewal, or a delivery timing question, and we can resolve them faster than a dispute process can. We respond to every properly raised dispute with the order record, the attestation record, the dispatch and tracking record, and the delivery confirmation.

8. Membership — automatically renewing subscription

TROPEZ offers an optional paid membership. The membership is an automatically renewing subscription. Read this section before purchasing.

8.1 What the membership includes

Member pricing A fixed percentage discount applied to eligible products, as stated on the Site, applied in addition to any volume pricing where the Site states that the two stack
Expedited delivery The member delivery service level stated in the Shipping Policy, at no additional shipping charge, on eligible orders to eligible destinations
Member resources Access to the member area of the Site

Membership benefits are available only while the membership is active and paid. Benefits apply to orders placed after the membership starts; they are not applied retroactively to earlier orders.

8.2 Price, billing interval and renewal

Plan Price Billing interval
Monthly $79.00 per month Every month
Annual $799.00 per year Every twelve months

By purchasing a membership you authorise us, and our payment processor, to charge the payment method you provide the amount above, automatically, at the start of each successive billing period, until you cancel. The first charge is taken on the day you purchase. Each later charge is taken on the corresponding day of each subsequent period. Charges appear on your statement as [BILLING DESCRIPTOR NOT SET].

Your renewal date and the amount of your next charge are shown in your account at all times. We send you a receipt for every charge.

8.3 Notice before renewal

For the annual plan, we will send a reminder to the email address on your account between forty-five (45) and fifteen (15) days before each renewal date, stating the renewal date, the amount that will be charged, and how to cancel.

8.4 Price changes

We may change membership prices. We will give you at least thirty (30) days’ notice by email before a changed price applies to you, and the change will take effect only from your next renewal after that notice period. If you do not accept the new price, cancel before that renewal date.

8.5 How to cancel

You may cancel at any time, with no cancellation fee, by either:

  • using the Cancel membership control in the Membership section of your account, which takes effect immediately and without any further step; or
  • emailing info@tropezpeptides.com from the address on your account, or telephoning (805) 252-1066.

We will not require you to speak to anyone, accept a retention offer, or complete any step not listed above in order to cancel.

8.6 Effect of cancellation

Cancellation stops the next and all future charges. Your membership and its benefits continue until the end of the billing period you have already paid for, and then end. We do not charge you again after you cancel.

Refunds of membership fees are governed by Section 5 of the Refund and Return Policy. In summary: a membership fee already charged for a period that has begun is not refunded, except that a newly purchased annual membership may be cancelled for a full refund within fourteen (14) days of purchase if no member-priced order has been placed.

8.7 Suspension and failed payment

If a membership charge fails, we may retry it, suspend member pricing and member delivery until payment succeeds, and cancel the membership if payment is not completed. A suspension does not entitle you to an extension of the paid period.

8.8 Membership is not a purchase commitment

A membership is a subscription to pricing and service terms. It does not include any product, does not entitle you to any product, and does not oblige you to buy anything. Every product order remains subject to Section 3, including the attestation requirement, and to Section 3.3.

9. Shipping and delivery

Shipping, processing times, service levels, destinations, packaging and risk of loss are governed by the Shipping Policy, which forms part of these Terms.

Title and risk of loss in the product pass to you on delivery by the carrier to the address you provided. Where a shipment is lost, damaged or misdelivered in transit, your remedy is as set out in the Refund and Return Policy.

10. Returns and refunds

Returns, replacements, cancellations and refunds are governed by the Refund and Return Policy, which forms part of these Terms.

11. Prohibited conduct

You may not:

  • administer any product to a human or animal, or permit or facilitate that;
  • resell, distribute, repackage, relabel or compound any product, or transfer it to any person, for human or animal use;
  • request, or attempt to obtain from us, any dosing, administration, protocol, formulation or clinical information;
  • represent to any person that a product is approved, safe, effective, or suitable for human or animal use, or attribute any such claim to TROPEZ;
  • use the Site or any product in violation of any law, regulation, institutional policy or third-party right;
  • export or re-export any product;
  • provide false information at registration, at checkout, or in any attestation;
  • use the Site to transmit malicious code, to attempt unauthorised access, to scrape or harvest data at scale, or to interfere with its operation; or
  • use our trade marks, product photography, specification text or site content for any commercial purpose without our written permission.

12. Intellectual property

The Site and its content — including the TROPEZ name and marks, text, specification presentation, layout, graphics, photography, molecular renderings and code — are owned by us or our licensors and are protected by intellectual property law. You are granted a limited, revocable, non-exclusive, non-transferable licence to view the Site and to reproduce order documentation and certificates of analysis for your internal research records. No other right is granted.

13. Disclaimer of warranties

Products are supplied with a warranty limited to the following: at the time of dispatch, the product conforms to the identity and specification stated on the certificate of analysis for its lot. That is the only warranty we give.

To the fullest extent permitted by law, and except as stated in the paragraph above, the products and the Site are provided “as is” and “as available”, and we disclaim all other warranties, express, implied, statutory or otherwise, including any implied warranty of merchantability, fitness for a particular purpose, non-infringement, accuracy, stability, sterility, endotoxin level, or suitability for any application. We give no warranty whatsoever in respect of any use of a product in or on a human or animal, such use being prohibited by these Terms.

We do not warrant that the Site will be uninterrupted or error-free, or that content, including specification and stock information, is complete or current.

Some jurisdictions do not allow the exclusion of certain warranties. Where that applies to you, the exclusions above apply to the fullest extent the law permits.

14. Limitation of liability

To the fullest extent permitted by law:

  1. we are not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, lost data, loss of research, cost of substitute goods, business interruption, or reputational harm, arising out of or relating to the Site, any product, or these Terms, whether in contract, tort, strict liability or otherwise, and whether or not we were advised of the possibility;

  2. our total aggregate liability to you arising out of or relating to the Site, any product, or these Terms is limited to the amount you actually paid us for the specific product giving rise to the claim, or one hundred U.S. dollars ($100), whichever is greater; and

  3. we have no liability of any kind for any injury, loss, damage or claim arising out of or relating to the administration of any product to any human or animal, or to any use of a product outside legitimate laboratory research, all such use being a breach of these Terms and expressly outside the scope of the supply.

These limitations apply even if a remedy fails of its essential purpose. Nothing in these Terms excludes liability that cannot be excluded as a matter of law, including liability for fraud.

15. Indemnification

You will indemnify, defend and hold harmless Seven Enterprises LLC, its members, officers, employees, agents, suppliers and manufacturers from and against all claims, demands, actions, proceedings, losses, liabilities, damages, penalties, fines, costs and expenses, including reasonable attorneys’ fees, arising out of or relating to:

  1. your breach of these Terms, including any representation or warranty in Section 3.1;
  2. your handling, storage, use, transport, transfer or disposal of any product;
  3. any administration of a product to any human or animal by you or by any person to whom you transferred it;
  4. any claim by a third party relating to a product after it left our custody; or
  5. your violation of any law or regulation, or of any right of a third party.

16. Export control

Products may be subject to U.S. export control and sanctions laws. You will not export, re-export, transship or transfer any product, directly or indirectly, in violation of those laws, and you represent that you are not located in, under the control of, or a national or resident of, any country or on any list to which such supply is restricted.

17. Dispute resolution — informal resolution, then arbitration

17.1 Talk to us first

Before commencing any formal proceeding, you agree to give us written notice of the dispute at info@tropezpeptides.com, describing it and the relief you seek, and to allow us sixty (60) days to resolve it informally. We will do the same before commencing a proceeding against you.

17.2 Binding arbitration

If the dispute is not resolved, you and we agree that any dispute, claim or controversy arising out of or relating to these Terms, the Site, or any product will be resolved by final and binding individual arbitration, administered by the American Arbitration Association under its Consumer Arbitration Rules, before a single arbitrator. The seat of arbitration is Wilmington, Delaware, or, at your election, your county of residence, or the arbitration may be conducted by telephone, videoconference or on documents only. The arbitrator decides all issues except those reserved to a court by Section 17.4. Judgment on the award may be entered in any court of competent jurisdiction. The Federal Arbitration Act governs this Section.

17.3 Class action waiver

You and we each waive any right to bring or participate in a class, collective, consolidated or representative action, or to act as a private attorney general. The arbitrator may award relief only in favour of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party’s individual claim. If this Section 17.3 is found unenforceable as to a particular claim or request for relief, that claim or request is severed from the arbitration and may proceed in court, and the remainder of Section 17 continues to apply to all other claims.

17.4 Exceptions

Either party may bring an individual action in small claims court, and either party may seek injunctive relief in a court of competent jurisdiction to protect intellectual property or to prevent unauthorised access to the Site.

17.5 Opt out

You may reject Sections 17.2 and 17.3 by sending written notice to us at info@tropezpeptides.com within thirty (30) days of the date you first accept these Terms, stating your name, the email address on your account, and that you opt out of arbitration. Opting out does not affect any other part of these Terms and does not affect your account or your ability to purchase.

18. Governing law and venue

These Terms and any dispute arising out of them are governed by the laws of the State of Delaware, without regard to its conflict of laws rules. Subject to Section 17, the state and federal courts located in Wilmington, Delaware have exclusive jurisdiction, and you consent to that jurisdiction and venue.

19. Changes to these Terms

We may amend these Terms at any time. The amended Terms take effect when posted, and we will update the “Last updated” date. For material changes we will give notice by email to registered customers or by a notice on the Site before the change takes effect. The Terms that apply to an order are the Terms in effect when you submit that order. Your continued use of the Site or placement of an order after a change takes effect is acceptance of the amended Terms.

20. General

Entire agreement. These Terms, together with the Privacy Policy, Refund and Return Policy and Shipping Policy, are the entire agreement between us in respect of the Site and your purchases, and supersede all prior communications, whether written or oral.

Severability. If any provision is held unenforceable, it is modified to the minimum extent necessary to make it enforceable, or severed, and the remainder continues in force.

No waiver. Our failure to enforce a provision is not a waiver of it.

Assignment. You may not assign these Terms without our written consent. We may assign them to an affiliate or in connection with a merger, acquisition or sale of assets.

Force majeure. Neither party is liable for failure or delay in performance caused by an event beyond its reasonable control, including acts of God, severe weather, epidemic, war, civil unrest, labour action, carrier failure, utility or network failure, supplier failure, or governmental action.

Survival. Sections 3, 11, 13, 14, 15, 16, 17 and 18 survive termination of these Terms and closure of your account.

Notices. Notices to you may be given by email to the address on your account or by posting on the Site. Notices to us must be sent to info@tropezpeptides.com and, where these Terms require writing, also to [BUSINESS ADDRESS NOT SET].

Headings. Headings are for convenience only and do not affect interpretation.
